use by the Site Owner. Recieving or Downloading the Content does not transfer

RECEIVING EMAIL FROM THE SITE OWNER
Members with
free, trial, or other paid subscriptions must agree to accept email messages
from the Site Owner as part of their service. The Site Owner will use
email solely to inform members of new membership benefits and features,
problems at the Site, and special opportunities to buy products and services
that are appropriate to the interests of the Site's members. Any member
who wishes not to receive email messages from the Site Owner will also
forfeit ALL of his/her membership benefits at The Site including any and
all free services that the Site offers.
LIMITATION OF WARRANTY AND DAMAGES
THE
SITE OWNER MAKES NO REPRESENTATION OR WARRANTY WITH RESPECT TO THE SITE
AND TO THE EXTENT PERMITTED UNDER APPLICABLE LAW THE SITE IS DELIVERED
"AS IS." THE WARRANTY STATED HEREIN IS EXPRESSLY IN LIEU OF

ANY EXPRESS OR IMPLIED WARRANTY OF ACCURACY, CORRECTNESS, RELIABILITY,
MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT,
AND SUCH WARRANTY CONSTITUTES THE ONLY WARRANTY MADE BY THE SITE OWNER
WITH RESPECT TO THE SITE AND THE CONTENT.

DISTRIBUTORS EXCEED THE AMOUNT PAID BY YOU, IF ANY, FOR ACCESSING OR USING

These Terms
of Use shall be governed by and construed in accordance with the laws
of Louisiana, U.S.A. These Terms of Use contain the entire understanding
of the parties hereto relating to the use of the Site and supersedes any
prior written or oral agreement or understandings between the parties
with respect to the Site, and cannot be changed or terminated orally.
The invalidity or unenforceability of any provision of these Terms of
Use will not affect the validity or enforceability of any other provision
of these Terms of Use. The Site Owner reserves the right to cancel any
member's account without prior notice for any reason, including, but not
limited to if, in the Site Owner's sole discretion, you fail to comply
with any term of these Terms of Use. Upon termination, you must destroy
all materials obtained from the Site, copies and related documentation
thereof.
The Site
Owner reserves the right to change or amend these Terms of Use at any
time without prior notice. By using the services and/or the Content at
the Site, you signify your agreement to the Terms of Use in effect at
such time.
This agreement describes the
entire terms and conditions for participation in the DropWatch Partner
Program. In this agreement "Partner Site" refers to you (the
applicant) and your site.
This Agreement will commence on the date your application to join the
Partner Program, and will continue unless terminated by either party.
Payments:
Partners Host sites will be
paid for paying visitors only. "Paying visitor" defined as a
DropWatch member that has successfully made payment via paypal.com. that
was referred by sponsor's website or link.
We will pay you commission
on a request basis, once your account has reached a $50 balance and payment
is requested. Payment will be processed and sent through paypal.com to
Partners' email address on file within 30 working days. DropWatch offers
no alternative payment option.
DropWatch will pay partner
sites per paying visitor based on traffic levels (see
the pay scale). All payments will be done once a month. No payments
will be disbursed for amount less than $50. If money owed to the Partner
Site is less than $50, the amount will be shown in the partners affiliate
stats.
We reserve the right to withhold
payment to any Partner Site that exhibits questionable click through activity.
We have developed advanced software to monitor all Partner Sites and highlight
those of questionable activity.
Banner Placement Rules:
The Partner Program banner has to be placed on the upper third of the
page as it has been proven to increase click through rates.
The Partner Site may place the Partner Program code on all appropriate
pages to increase click rates.
You may not alter Partner Program insertion code except for placement
purposes. DropWatch text links can be used with any of DropWatch's banners.
DropWatch Banners and text links are the only recognized links to our
site.
Responsibility & Liability:
You will be solely responsible and liable for the development, operation
and maintenance of your site and for all materials that appear on your
site.
You are responsible to indemnify and hold DropWatch harmless from and
against any and all claims, demands, liabilities, expenses, losses, damages
or attorney fees arising from any and all claims and lawsuits for libel,
slander, copyright and trademark violation as well as all other claims
resulting from Partner Site's or advertiser's web pages.
In case of changes of the terms and conditions you are responsible to
comply with all new rules within 10 days of receiving new agreement. If
you have any questions about the interpretation of any terms in this Agreement,
please contact us.
Limitation of Responsibility:
We will not be liable for any indirect, special or consequential damages
arising in connection with this Agreement or Program. We make no representation
that the operation of our site will be uninterrupted or error-free and
we will not be liable for the consequences of any interruptions or errors.
DropWatch will not be responsible for loss due to down times, because
of complications with the hosting equipment or technical errors.
We have the right to change the Partner Program terms and conditions at
any time.
Prohibition:
Spamming on the search engines, news groups or mailing lists is strictly
prohibited.
Any acquisitions from URL's that contain or promote childe porn, bestiality
and password selling are strictly forbidden. Any click or traffic generation
or duplicate memberships whether automated or manually induced are prohibited
and will cause termination of this agreement and forfeit all monies due
under it. We developed the advanced anti-fraud software. If you are applying
to join our Program with the intent to generate sign-ups fraudulently,
please be advised that our software will report this activity to us. Fraudulent
activity may result in non-payment, removal from Program and legal action.
Termination of Agreement:
DropWatch has got the right to terminate a Partner's Site account at any
time without any reasons and/or explanations. The Partner understands
and agrees that termination of an account will result in the forfeit of
all the Partner Site commission. The Partner understands and agrees that
DropWatch shall be the sole determiner in cases of suspected abuse, fraud
or violation of its rules and any decision it makes relating to termination
of accounts shall be final and binding. The Partner Site caught spamming
or using automated scripts or other techniques used to generate fictious
traffic will be terminated without warning and shall forfeit any commissions
due. We reserve the right to cancel Partner Site status at any time effective
immediately upon sending an electronic message to the e-mail address that
you have provided. Either party may cancel this Agreement immediately,
at any time by notification in writing by e-mail. To cancel your account
please contact us.
Automatic Renewal of the Agreement:
This contract shall be automatically renewed for successive periods and
may be canceled immediately by either party at any time by notification
in writing by e-mail.
ALL PARTNER
SITES MUST COMPLY COMPLETELY WITH ALL THE TERMS AND CONDITIONS SET FORTH
HERE. DropWatch RESERVES THE RIGHT TO WITHHOLD PAYMENT FROM ANY PARTNER
SITE THAT VIOLATES ANY OF THESE TERMS.
Acknowledgment:
By clicking on the button marked "Join Now" you acknowledge
that you have read this agreement and agree to all its terms and conditions.
You have independently evaluated the desirability of participating in
the program and are not relying on any representation, guarantee or statement
other than as set forth in this agreement.
